1. Definitions
In these Terms & Conditions:
- "Agreement" refers to these Terms & Conditions and any service-specific agreements
- "Services" refers to the consulting and advisory services provided by catalyst gen
- "Client," "you," or "your" refers to the individual or organisation engaging our Services
- "We," "us," or "our" refers to catalyst gen
- "Website" refers to our website at capstonens.info
- "Deliverables" refers to reports, frameworks, recommendations, or other work products
2. Acceptance of Terms
By accessing our Website or engaging our Services, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our Website or Services.
You represent that you are at least 18 years of age and have the legal authority to enter into this Agreement on behalf of yourself or your organisation.
3. Service Description
catalyst gen provides business consulting services including, but not limited to:
- Change Acceleration Advisory
- Talent Strategy Consultation
- Knowledge Management Advisory
The specific scope, deliverables, timeline, and fees for each engagement will be outlined in a separate service proposal or statement of work agreed upon by both parties before commencement of work.
4. Engagement Process
4.1 Proposals and Agreements
Following initial discussions, we will provide a written proposal outlining the scope of work, deliverables, timeline, and fees. Engagements commence upon your written acceptance of the proposal and payment of any required deposits.
4.2 Client Cooperation
Successful consulting engagements require collaboration. You agree to:
- Provide timely access to relevant information, data, and personnel
- Designate a primary contact person with decision-making authority
- Review and provide feedback on deliverables within agreed timeframes
- Communicate any concerns or changes in requirements promptly
5. Payment Terms
5.1 Fees and Invoicing
Fees for our Services are quoted in Hong Kong Dollars (HKD) and will be specified in the service proposal. Invoices are issued according to the payment schedule agreed in the proposal.
5.2 Payment Methods
We accept payment by bank transfer, cheque, or other methods as agreed. Payment instructions will be included on each invoice.
5.3 Late Payment
Invoices are due within 30 days of issue unless otherwise specified. We reserve the right to suspend work on overdue accounts and charge interest at a rate of 1.5% per month on outstanding balances.
5.4 Expenses
Out-of-pocket expenses (such as travel, accommodation, or materials) incurred in connection with an engagement will be invoiced separately with supporting documentation, unless included in a fixed-fee arrangement.
6. Intellectual Property
6.1 Our Intellectual Property
All methodologies, frameworks, tools, templates, and processes developed by catalyst gen prior to or independent of any engagement remain our exclusive property. We grant you a non-exclusive, non-transferable licence to use such materials solely for your internal business purposes.
6.2 Client Materials
You retain ownership of all information, data, and materials you provide to us. You grant us a limited licence to use such materials solely for the purpose of delivering the agreed Services.
6.3 Deliverables
Upon full payment, you will own the specific deliverables created exclusively for your engagement. However, we retain the right to use general knowledge, skills, and experience gained during the engagement.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the engagement. This obligation continues for a period of three (3) years after the conclusion of services.
Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from third parties without restriction.
8. Disclaimers
8.1 Advisory Nature of Services
Our Services are advisory in nature. While we provide recommendations based on our professional expertise and analysis, the final decisions and implementation remain your responsibility. We do not provide legal, accounting, or financial advice.
8.2 No Warranties
Our Services are provided "as is" without warranties of any kind, express or implied. We do not warrant that our recommendations will achieve specific results or outcomes, as these depend on numerous factors beyond our control.
8.3 Website Disclaimer
Information on our Website is provided for general informational purposes only and does not constitute professional advice. We endeavour to keep the Website current but make no guarantees regarding accuracy or completeness.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from an engagement shall not exceed the fees paid for the specific service giving rise to the claim
- We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities
- We shall not be liable for delays or failures in performance caused by circumstances beyond our reasonable control (force majeure)
10. Indemnification
You agree to indemnify and hold harmless catalyst gen and its employees, contractors, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our Services, your breach of these Terms, or your violation of any third-party rights.
11. Termination
11.1 Termination for Convenience
Either party may terminate an engagement with 14 days' written notice. In such cases, you will be invoiced for work completed up to the termination date plus any committed expenses.
11.2 Termination for Cause
Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to remedy the breach within 7 days of notification.
11.3 Effect of Termination
Upon termination, we will deliver any completed work and return your confidential materials. Provisions relating to confidentiality, intellectual property, limitation of liability, and indemnification shall survive termination.
12. Dispute Resolution
In the event of any dispute arising from these Terms or our Services:
- The parties shall first attempt to resolve the matter through good-faith negotiation
- If unresolved within 30 days, the parties may agree to mediation
- Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region
13. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.
14. General Provisions
- Entire Agreement: These Terms, together with any service proposals, constitute the entire agreement between the parties
- Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect
- Waiver: Failure to enforce any right does not constitute a waiver of that right
- Assignment: You may not assign your rights under these Terms without our written consent
- Notices: Any notices shall be sent to the addresses provided in the service agreement or via email
15. Changes to These Terms
We may update these Terms & Conditions from time to time. Changes will be posted on this page with a revised effective date. For active engagements, material changes will be communicated directly. Continued use of our Services constitutes acceptance of the updated Terms.
